Is keeping an accountant necessary for a UK private limited even though its Main Office is outside UK?

Is keeping an accountant necessary for a UK private limited even though its Main Office is outside UK?
I work for an online newspaper (running for 5 years now) which has its head office outside UK. All the financial dealings/advertisements/barters are taken place back in the home country. Now if my owner wants to register the company here in UK as a Plc, is it necessary to have an accountant (although there will be no finance involved in UK) and to do a VAT registration?

If he want to register it in the UK it has to be registered with Companies House and they will need a yearly account record of the company, they can get a good book keeper for the accounts and the VAT returns but need an accountant for the end of year audits.
